Terms and Conditions for Academy Programmes

The terms and conditions for TPC Leadership UK’s courses are set out below.  Applicants (you) are required to confirm that they have understood and accepted these terms and conditions, as part of the contract made between TPC Leadership UK and the applicant (you) upon registration.  Before accepting the terms and conditions, all applicants are strongly encouraged to read the relevant Programme Specification.

  1. Applications

Applications for admission can be accepted for consideration only if submitted on TPC Leadership’s online application form.

  1. Programme Credits (APEL)

Any APEL forms must be submitted before the date of registration to the programme, with supporting documents as appropriate.  All APEL applications are subject to approval and agreement by TPC Leadership.

  1. Confirmation of Attendance and Payment of Fees

3.1       The deposit is payable immediately upon booking onto a scheduled programme.

3.2       The balance of the fees is payable no less than least seven (7) weeks before the first workshop by bank transfer.

3.3       Where you register or are registered, for a programme within seven (7) weeks of the first workshop, the full payment will be due immediately on receipt of TPC Leadership’s invoice.

3.4       The participant may not attend a programme without payment of fees.  Late payment of fees attracts an administrative surcharge of £50 + VAT.

3.5       Programme fees are detailed on TPC Leadership’s website and are subject to change prior to registration.

  1. Cancellation and Rescheduling of Programmes

4.1       TPC Leadership’s programmes are designed so that participants can learn from one another as well as benefit from faculty input, and therefore each programme will have a minimum student number to achieve this.  When it is anticipated that TPC Leadership will not achieve these minimum numbers, programmes will be rescheduled or, if necessary, cancelled.  In such cases, TPC Leadership will advise you as soon as practicable and offer alternative programme dates where possible.

4.2       Where a course is cancelled and not rescheduled by TPC Leadership, a full refund will be given to you.

4.3       If you voluntarily withdraw from the programme before completion and you are permitted to restart the programme at a later date.  You will be asked to submit an updated curriculum vitae, and application form, and pay any fee increases, as appropriate.

4.4       You may transfer to an alternative programme without an administration charge, unless it is less than six (6) weeks before the original programme start date, in which case a transfer fee will be charged to cover any costs that have been incurred for the original programme.  Any additional fees for the alternative programme will be invoiced and must be paid in full before the start date of the new programme.

4.5       Please refer to TPC Leadership’s Refund Policy (Section 6) for cancellation initiated by you.

  1. Non-attendance of workshops

5.1       For unavoidable reasons of cancellation, such as illness, TPC Leadership will try to book you on the same workshop with the next programme, subject to availability.  Should you find yourself in these circumstances, it is your responsibility to contact TPC Leadership as soon as possible for alternative arrangements to be made.  There will be an additional administration fee payable of £50+VAT to cover TPC Leadership’s administrative costs in addition to any third party cancellation costs incurred as a direct result.

5.2       If you do not attend the scheduled group supervision calls (where applicable) and do not provide TPC Leadership with at least five (5) Working Days’ notice, a fee of £50+VAT will be charged, for each missed event.

  1. Refund Policy

6.1       Where you have paid a deposit only, or have paid the full balance in lieu of a deposit, you have the right to cancel your registration for the programme, and receive a full refund, within seven (7) days of making your payment.  This does not affect your statutory rights.  TPC Leadership reserves the right to withhold some or all of the monies paid to cover reasonable expenses in the event of your cancellation as follows:

a. After the initial seven (7) days following payment, you may cancel your registration up to forty two (42) days before the first day of the programme, and obtain a full refund of fees paid, less an administration fee of £50 + VAT.

b. From the first day of the programme to forty one (1 – 41) days before, your refund will be reduced to take account of charges for the cost of the first workshop and an administration fee. c. If you wish to withdraw from the programme on, or after, the first day of the programme, no refund is applicable.

d. Where a programme is paid for in instalments, no refund will be paid for any started or completed modules.

6.2       If you wish to defer attendance, or transfer to another programme, please contact TPC Leadership on +44 (0)203 637 0970 to discuss options.  TPC Leadership will try to accommodate your request, where possible.

  1. Liability

7.1       You should notify TPC Leadership if you are unhappy with any part of the programme within thirty (30) days of completion of the programme (inclusive of the submission of your portfolio, where applicable).

7.2       TPC Leadership’s liability for losses suffered by you as a result of TPC Leadership breaking the Agreement is strictly limited to the purchase price of the programme.

7.3       Nothing in this Agreement limits or excludes TPC Leadership’s liability for:

a. death or personal injury caused by its negligence;

b. fraud or fraudulent misrepresentation; or

c. breach of the terms implied by section 2 of the Supply of Goods and Services Act 1982 (title and quiet possession); or

d. any other liability which cannot be limited or excluded by applicable law.

7.4       The terms implied by sections 3 to 5 of the Supply of Goods and Services Act 1982 are, to the fullest extent permitted by law, excluded from this Agreement.

  1. Transfer of rights and obligations

8.1       The Agreement between you and TPC Leadership, for the provision of services, is binding on both parties and on TPC Leadership’s respective successors and assigns.

8.2       You may not transfer, assign, charge or otherwise dispose of the Agreement, or any of your rights or obligations arising under it, without TPC Leadership’s prior written consent.

8.3       TPC Leadership may transfer, assign, charge, sub-contract or otherwise dispose of the Agreement, or any of TPC Leadership’s rights or obligations arising under it, at any time during the term of the Agreement.

  1. Events outside TPC Leadership’s control

9.1       TPC Leadership will not be liable or responsible for any failure to perform, or delay in performance of, any of TPC Leadership’s obligations under the Agreement that is caused by events outside TPC Leadership’s reasonable control (Force Majeure Event).

9.2       A Force Majeure Event includes any act, event, non-happening, omission or accident beyond TPC Leadership’s reasonable control and includes in particular (without limitation) strikes, lock-outs or other industrial action; civil unrest, riot, invasion, acts of terrorism or threat of terrorist attack, war (whether declared or not) or threat or preparation for war; fire, explosion, storm, flood, droughts, earthquake, subsidence, epidemic, pandemic or other natural disaster; impossibility of the use of railways, shipping, aircraft, motor transport or other means of public or private transport; impossibility of the use of public or private telecommunications networks; governmental action, any law or any action taken by a government or public authority, including without limitation imposing an export or import restriction, quota or prohibition, or any other event that is beyond the control of the party in question.

9.3       TPC Leadership’s performance under the Agreement is deemed to be suspended for the period that the Force Majeure Event continues, and TPC Leadership will have an extension of time for performance for the duration of that period.

  1. Intellectual Property Rights

10.1      All intellectual property rights (including, without limitation, copyright, moral rights, design rights, trademarks and patents) and all other rights in the programmes content and programme materials belong to TPC Leadership.  TPC Leadership licences to you all such rights on a non-exclusive basis for the purpose only of enabling you to attend, participate and, where you are able, to complete the programme.  You are also permitted to use small extracts of the programme content and programme materials for your personal use as a coach only.  Reproduction or distribution of the programme content and programme materials is strictly prohibited.

10.2     Use of TPC Leadership’s logo is strictly prohibited without TPC Leadership’s prior written consent.

10.3     Any audio and/or visual recordings of TPC Leadership’s programmes is strictly prohibited without TPC Leadership’s prior written consent.

10.4     TPC Leadership may film or record programme trainers delivering the programme during your programme for quality purposes.  You authorise TPC Leadership to use your image and voice in any such recordings without payment, other condition or need for further consent.

10.5     You acknowledge that certain information contained in the programme and programme materials is already in the public domain.

10.6     You are not permitted to sell or promote products or services to other programme participants without the prior written consent of TPC Leadership.

  1. Confidentiality

11.1     Save as required by law or in respect of information which is already in the public domain through no breach by you of the provisions of this clause 10, you shall keep in strict confidence all technical and commercial know-how, specifications, inventions, processes or initiatives which are of a confidential nature and have been disclosed to you by TPC Leadership (or TPC Leadership’s employees, agents, consultants or sub-contractors) and any other confidential information concerning TPC Leadership’s business or the programme or programme materials which are supplied to or obtained by you.

11.2     You shall not use any such information for any purpose other than to attend, participate and, where capable, complete the programme.

  1. Data Protection

12.1     You agree that we may process your personal data (any information by which you can be identified, directly or indirectly, in particular by reference to an identifier such as a name, identification number, location data or an online identifier) in accordance with and subject to Data Protection Legislation (means all applicable legislation in force from time to time in the United Kingdom applicable to data protection and privacy including, but not limited to the retained EU law version of the General Data Protection Regulation ((EU) 2016/679) (the “UK GDPR”), as it forms part of the law of England and Wales, Scotland, and Northern Ireland by virtue of section 3 of the European Union (Withdrawal) Act 2018; the Data Protection Act 2018 (and regulations made thereunder); and the Privacy and Electronic Communications Regulations 2003, as amended) for the purpose of your participation in a TPC Leadership programme and for any certification sought on completion thereof.

  1. Termination

TPC Leadership reserve the right to terminate the Agreement immediately without liability if:

13.1     You fail to complete the programme within twelve (12) months of the completion of the scheduled workshops or, where TPC Leadership has given prior written consent, within eighteen (18) months of the completion of the scheduled workshops;

13.2     In TPC Leadership’s opinion you cause disruption on any programme or takes any action which brings TPC Leadership (or any of TPC Leadership’s employees, agents, consultants or sub-contractors) into disrepute or adversely affects TPC Leadership’s goodwill or reputation.

  1. General

14.1        This Agreement contains the whole agreement between the parties relating to its subject matter and supersedes all prior discussions, arrangements or agreements that might have taken place in relation to the Agreement.

14.2        The Contracts (Rights of Third Parties) Act 1999 does not apply to the Agreement and no third party has any right to enforce or rely on any provision of the Agreement.

14.3        Unless otherwise agreed, no delay, act or omission by a party in exercising any right or remedy will be deemed a waiver of that, or any other, right or remedy.

14.4        A provision which by its intent or terms is meant to survive the termination of the Agreement will do so.

14.5        If any court or competent authority finds that any provision (or part) of the Agreement is invalid, illegal or unenforceable, that provision or part-provision will, to the extent required, be deemed to be deleted, and the validity and enforceability of the other provisions of the Agreement will not be affected.

14.6        Unless specifically provided by the parties, nothing in the Agreement will establish any employment relationship, partnership or joint venture between the parties, or mean that one party becomes the agent of the other party, nor does the Agreement authorise any party to enter into any commitments for or on behalf of the other party.

14.7        Any notice (other than in legal proceedings) to be delivered under the Agreement must be in writing and delivered by pre-paid first class post to or left by hand delivery at the other party's registered address or place of business, or sent by email to the other party's main business email address as notified to the sending party. Notices:

a. sent by post will be deemed to have been received, where posted from and to addresses in the United Kingdom, on the second Working Day and, where posted from or to addresses outside the United Kingdom, on the tenth Working Day following the date of posting;

b. delivered by hand will be deemed to have been received at the time the notice is left at the proper address; and

c. sent by email will be deemed to have been received on the next Working Day after sending.

  1. TPC Leadership’s right to vary these terms and conditions

15.1     TPC Leadership has the right to revise and amend these terms and conditions from time to time to reflect changes in market conditions affecting TPC Leadership’s business, changes in technology, changes in payment methods, changes in relevant laws and regulatory requirements and changes in TPC Leadership’s systems capabilities.

15.2     You, the customer, shall be subject to the terms and conditions in force at the time that you completed the application form and paid the deposit for the programme, unless TPC Leadership notifies you of the change to these terms and conditions before TPC Leadership sends you the confirmation of registration, in which case TPC Leadership has the right to assume that you have accepted the change to these terms and conditions, unless you notify TPC Leadership, in writing, to the contrary within seven (7) working days of receipt by you of the confirmation of registration.

  1. Law and jurisdiction

This Agreement shall be governed by and interpreted according to the law of England and Wales and all disputes arising under the Agreement (including non-contractual disputes or claims) shall be subject to the exclusive jurisdiction of the English and Welsh courts.
